THIS IS A CONTRACT. BY INSTALLING THIS SOFTWARE YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.

This Paratext User License Agreement accompanies the Paratext 6.1 software (CD-ROM or downloaded installation package) and related explanatory materials ("Software"). The term "Software" also shall include any upgrades, modified versions, plug-ins such as tagged texts, or updates of the Software licensed to you by UBS. Any copyrighted texts or other materials included with the Paratext program are subject to the restrictions set forth by the copyright holders as specified in the "Software" and are considered part of this "Electronic End User License Agreement."

Please read this Agreement carefully. By installing this software on your computer you certify your acceptance of the terms of this agreement. Upon your acceptance of this Agreement, UBS grants to you a nonexclusive license to use the Software, provided that you agree to the following:

1. Use of the Software

Use of this software and the Scripture text resources included in it is restricted to individuals who are actively involved in text processing or publishing support related to Bible translation. The program must be uninstalled if and when an individual ceases to be involved in Bible translation. One registered copy of Paratext may be used by a single person who uses the software personally on one or more computers. The registered user may delegate other participants involved in text processing or publishing support for a particular translation project to access and use an existing registered and installed copy of the software (the intent is to license concurrent use of the software), but the registered user continues to hold responsibility to ensure legitimate use of the software. You may install the Software on a hard disk or other storage devices for the purposes of permanent installation, and make backup copies of the Software. A special license for use on multiple systems in the context of a classroom training environment may be provided by prior written permission from the United Bible Societies (contact ptregadmin at ubs-translations.org).

Users are not permitted to copy and distribute this Software without prior written permission from the UBS Paratext Distribution office in Canada. Any person receiving a copy of the Paratext software must accept the terms of this Agreement and register their use of Paratext with UBS (http://paratext.ubs-translations.org). You are not permitted to upload the Software to the Internet or similar on-line source without the prior written permission of the United Bible Societies.

2. Copyright and Trademark Rights

The Software is owned by the United Bible Societies. The Software also is protected by United States Copyright Law and International Treaty provisions. Except as stated above, this Agreement does not grant you any intellectual property rights in the Software. Each of the electronic resources and Scripture texts included in this Software is protected by copyright. These resources and Scripture texts may not be edited or used or adapted in other software without prior written permission from the respective copyright holders.

3. Restrictions

You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software. Under a separate agreement with SIL, permission is granted to distribute customized tables, style sheets and/or additional Scripture texts for the benefit of its own Paratext users. These must be distributed on separate, supplementary CDs.

No Warranty

The Software is being delivered to you AS IS and UBS makes no warranty as to its use or performance. UBS DOES NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION. UBS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL UBS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A UBS REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. Some states or jurisdictions do not allow the exclusion or limitation of incidental, consequential or special damages, or the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you.

Governing Law and General Provisions

This Agreement will be governed by the laws of the State of Delaware, U.S.A., excluding the application of its conflicts of law rules. You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations. This Agreement shall automatically terminate upon failure by you to comply with its terms. This Agreement may only be modified in writing signed by an authorized officer of UBS.
